Hester Bio Re-appointment Five independent Director HESTERBIO

 1. Re-appointment of Ms. Sandhya Patel as an Independent Director (Non-executive) of the Company for second term of 5 (five) years with effect from 1 April 2023, subject to the approval of members. 

2. Re-appointment of Mr. Ashok Bhadakal as an Independent Director (Non-executive) of the Company for second term of 5 (five) years with effect from 1 April 2023, subject to the approval of members. 

3. Re-appointment of Mr. Rajiv Gandhi as CEO & Managing Director of the Company for the period 3 (three) years with effect from 1 April 2023, subject to the approval of members.

 4. Re-constitution of various committees of the Board with effect from 1 April 2023.

 5. The second term of Mr. Naman Patel and Mr. Amit Shukla, as independent directors, will be completed by the end of the day of 31 March 2023.

 Therefore, from 1 April 2023, both directors will cease to be directors of the Company. The shareholders’ approval will be taken for said resolutions through postal.
